Company Secretary
CS Company Secretary develops high caliber professionals facilitating good corporate governance. CS plays a crucial role in organization as chief advisor to board of directors, expert in corporate laws, securities laws, capital market and corporate governance, corporate planner and strategic manager.A CS is responsible for maintaining and auditing the company’s tax returns, keeping records, advising the board of directors regarding the financial health of the company and ensuring that the company complies with legal and statutory regulations. To be able to professionally practice Company Secretaryship, an individual has to complete professional training and pass examinations.
The Institute of Company Secretaries of India provides training to candidates aspiring to pursue CS. The institute conducts the CS programme at three levels. On completion of all these three levels, candidates are issued certificate to practice Company Secretaryship as a profession.
Syllabus
CSEET (Entrance exam)
Both graduates and post graduates will have to clear CSEET exams to be eligible for CS Executive. Exams will be conducted in the month of May, July, November and January. The following subjects are included:
- Paper 1 – Business Communication
- Paper 2 – Legal Aptitude and Logical Reasoning
- Paper 3 – Economic and Business Environment
- Paper 4 – Current affairs, presentation and communication skills
CS EXECUTIVE
Students who have cleared CSEET can appear for CS Executive. CS Executive consists of 2 modules.
Module 1
- Jurisprudence, Interpretation & General Laws
- Company Law
- Setting up of Business entities and closure
- Tax laws
- Supplements (Part I – Direct Taxes)
Supplements (Part II – Indirect Taxes)
Module 2
- Corporate and Management Accounting
- Securities Laws and Capital Markets
- Economic, Business and Commercial Laws
- Financial and Strategic Management
CS PROFESSIONAL
A candidate who has cleared CS executive is eligible for CS professional exams. There are 3 modules in this stage.
Module 1
- Governance, Risk Management, Compliances and Ethics
- Advanced Tax Laws Supplement (Part I – Indirect Taxes) Supplement (Part II – Direct Tax and International Tax)
- Drafting, Pleadings and Appearances
Module 2
- Secretarial Audit, Compliance Management and Due Diligence
- Corporate Restructuring, Insolvency, Liquidation & Winding-up
- Resolution of Corporate Disputes, Non-Compliances & Remedies
Module 3
- Corporate Funding & Listings in Stock Exchanges
- Multidisciplinary Case Studies (open book exam)
After completion of professional level students must undergo 1 year practical training under a practicing company secretary or in a reputed organization.
